ASC Engineered Solutions is seeking General Counsel that would be responsible for leading the company's legal department and overseeing all aspects of its legal affairs.
The General Counsel reports directly to the CEO and is a member of the company's executive team.
The ideal candidate will have at least 7-10 years of experience as a General Counsel or in a similar senior-level legal role, with a focus on M&A, patent, and trade compliance law.

How Will You Help?
Lead the company's M&A efforts, including negotiating and drafting transaction agreements, managing due diligence, and obtaining regulatory approvals.
Manage the company's patent portfolio, including developing and implementing patent strategies, drafting and filing patent applications, and prosecuting patents.
Ensure the company's compliance with all applicable laws and regulations, including trade compliance laws.
Draft, review, analyze and negotiate agreements, memoranda and other legal documents to which the company intends to become a party across a wide variety of categories.
Establish, manage and maintain strong collaborative relationships with a variety of corporate clients in different areas of the company, including human resources, sales, manufacturing, and marketing.
Retain, evaluate and effectively manage external legal counsel supporting corporate and transactional matters in order to maximize the quality of representation and remain within budget.

Juris Doctorate degree with academic credentials from an ABA accredited law school.
Strong communicator and relationship builder with proven ability to lead and influence others.
Strategic business partner with demonstrated ability to impact, influence and negotiate with internal and external stakeholders.
Skilled communicator with excellent written and verbal skills, and a professional and poised demeanor.
Proven ability to succeed in both law firm and in-house settings.
At least 7-10 years of law firm and in-house experience with litigation, transactional and corporate legal experience (preferred).
Experience in both private and public company acquisitions
